ARTICLES OF INCORPORATION

OF

TAMPUS CLAN ASSOCIATION, INCORPORATED

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of whom are residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit association under the laws of the Republic of the Philippines.

THAT WE HEREBY CERTIFY:

FIRST: The name of the said association shall be:

TAMPUS CLAN ASSOCIATION, INCORPORATED

SECOND:  That the purpose or purposes for which such association is incorporated are:

• To actively promote the knowledge of the Tampus (whatever variant spelling) throughout the world and the discovery of our links through extensive genealogical work and while doing so to make new contacts and friends with the hope and aim of discovering new relatives.
• To identify those Oponganon in which the Tampus flourished, encourage discovery of the country's history through additional extensive research.
• To promote travel either individually or in groups to these areas and to recognize products and services now offered and encourage the support of same.
• To generate personal and community growth and development in every area of the association, thus promoting social responsibility among its member.

THIRD: That the place where the principal office of the association is to be established is at:

Barangay Basak, Lapu-Lapu City, Cebu, Philippines

FOURTH: That the term for which the association is to exist is fifty (50) years from and after the date of its issuance of the certificate of incorporation.

FIFTH:  That the names, nationalities, and residences of the incorporators of the association are as follows:

SIXTH: That the number of board of directors of the association shall be fourteen (14) and that the names, nationalities, and residences of the first board of directors of the association are as follows:

SEVENTH: That the association shall be maintained by fees, dues, assessments or charges paid by its members and other income as the association may derive from the pursuit of its livelihood and economic activities, as well as voluntary contributions, donations or loans from persons, partnerships, corporations and other entities;

EIGHTH: That the initial operating capital of the association is THIRTY THOUSAND PESOS (Php 30,000.00) contributed by the following:

NINTH: That no part of the income which the association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provisions of the Corporation Code on dissolution. Any profit obtained by the association as a result of its operation, whenever necessary or proper shall be used for the furtherance of the purposes enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the Philippines.

TENTH: That _________________________ has been elected by the members as Treasurer of the association to act as such until his/her successor is duly elected and qualified in accordance with the by-laws; and that as such Treasurer, he/she has been authorized to receive for and in the name and for the benefit of the association all contributions or donations paid or given by the members.

ELEVENTH: That the association manifests its willingness to change its corporate name in the event another person, firm or entity has acquired a  prior right to use the said firm name or one deceptively or confusingly similar to it.

TWELFTH: That the association shall comply with the requirements for non-stock corporations in the course of its operation.

IN WITNESS WHEREOF, we the incorporators have hereunto set our hands this 27^th day of April, 2012 at Lapu-Lapu City, Philippines.
