ARTICLE I. PURPOSE
The Purpose of the Association is to actively promote the knowledge of the Tampus (whatever variant spelling) throughout the world and the discovery of our links through extensive genealogical work and while doing so to make new contacts and friends with the hope and aim of discovering new relatives.
As the discovery work is being accomplished, to identify those Oponganon in which the Tampus flourished, encourage a discovery of the county's history through additional extensive research, to promote travel either individually or in groups to these areas and to recognize products and services now offered and encourage the support of same.
ARTICLE II. NAME AND LOCATION
The undersigned hereby forms a non-profit association to be known as the Tampus Clan Association, Incorporated and in accordance with the laws of the Philippines, hereinafter referred to as the "Association". Its principal office shall be located at Brgy. Basak, Lapu-Lapu City (Opon), Mactan Island, Cebu.
ARTICLE III. MEMBERSHIP
Section I. Membership Guidelines.
a. Membership is open to anyone having an interest in the "TAMPUS" whatever variant spelling of the family name.
b. Official members. These are members who registered and paid the registration fee.
c. Evidence of Membership. Each member of the association who become official members shall receive a certificate of membership recognized by the association.
d. Identification Cards must be issued to a registered member
Section II. Membership dues are as follows:
a. Regular Members: Php50.00 per year
b. Special Members: Php100.00 per year
c. Premium Members: Php300.00 per year
Section III. Payment Guidelines
Membership dues are payable annually and due on the anniversary date on which a person initially joined. The Membership Officer will be responsible for defining benefits of each membership category.
ARTICLE 1V. RIGHTS OF MEMBERS
a. Right to express their ideas during meetings and discussions.
b. The right to vote and run for position in the Association, and the right to be appointed to any position.
c. The right to avail of any privileges the association offers to its members.
ARTICLE V. DUTIES OF MEMBERS
a. To attend a scheduled “In-Person Meeting” (Art. 10 Sec. 2).
b. To know about the policies and by-laws including changes on an existing rules or policies or new enacted ones.
c. To act responsibly at all times.
d. Protect the dignity of the clan and the Association at all cost.
e. Notify the Association of issues that may need an immediate attention by writing a letter to the Secretary.
d. A member must perform duties with devotion.
ARTICLE VIII. BOARD OF DIRECTOR AND OFFICERS
Section I. Board of Directors
a. General Powers. The business and affairs of the Association shall be managed by the Board of Directors which shall exercise all the powers of the Association.
b. Number of Board of Directors and Qualifications. The Board of Directors shall be composed of fourteen (14) elected members. Only Association official members in good standing shall be eligible for the member of Board of Directors.
c. Election and Term of Office. Board of Directors shall be elected by a secret ballot at the annual meeting of the members of the Association. The Directors so elected shall hold office for a term of two (2) years and until their successors is elected and qualified. Seven of the initial directors shall be served for a two-year term and the remaining seven for a one year term. Thereafter, all directors’ terms will be for two years. No director shall be eligible to serve three consecutive terms, but may be re-elected after retiring for a minimum of one year.
d. Removal of Directors by Members. At any regular or special meeting of the members duly called and held, any director may, by two-thirds (2/3) vote of the members entitled to vote, be removed from the office. Any vacancy created by such removal shall be filled by majority vote of the members present as such meeting without compliance with the foregoing provisions with respect to nominations. The directors elected shall serve the unexpired terms of the removed directors.
e. Vacancies. Except as herein above provided, any other vacancies occurring in the board either by resignation, death or incapacity, shall without observing the provision of Section 3 above, be filled by a majority vote of the remaining Directors, if still constituting a quorum, at regular meeting duly called and held for the purpose. The directors so elected shall serve the unexpired terms of the resigning, incapacitated or deceased directors.
Section II. Officers
a. Officers of the Association shall be the President, Area Vice President, Secretary, Area Secretary, Treasurer, Area Treasurer, Membership Officer and Area Membership Officer that are elected from members of the Association.
b. Election and Term of Office. Officers shall be elected at the annual meeting, take office on day of the meeting and serve for a two years period or until new officers are elected. Upon the occurrence of a vacancy, an interim election shall be held to fill the vacancy for the balance of the Association's year.
ARTICLE IX. DUTIES AND RESPONSIBILTIES
Section I. Board of Directors
a. Making sure that the organization complies with its bylaws and article of incorporation, such as those regarding the calling and holding of meetings; and the business of the organization is carried out legally.
b. Acting in the best interest of the association; regularly monitoring expenditure against the budget; and taking out appropriate action to ensure that the organization’s property and members are protected
c. Exercising care, skill and diligence in carrying out the role of being a member of Board of Directors; and
d. Ensuring that the organization maintains its sense of purpose and direction.
Section II. Officers
a. The President shall preside at meetings, appoint committees and oversee all Association activities.
b. The Area Vice President shall assume the duties of the President when the president is absent or unable to render his serve in different Area Organizations.
c. The Secretary shall keep a record of the Association's meetings and business, and report on previous meetings. The Secretary will be responsible for any filings with any entity to establish and maintain the existence of the Association.
d. The Area Secretary shall assist the Secretary in all of the above duties representing the different Area Organizations.
e. The Treasurer shall collect and disburse funds, maintain books covering the Association's financial operations, and billing of membership dues. Each quarter and at year-end, the Treasurer shall present a report to the membership on the financial status of the Association. The Treasurer will be responsible for filings with any entity to report the association's financial status.
f. The Area Treasurer shall assist the Treasurer in all of the above duties representing the different Area Organizations.
g. Membership Officer shall be responsible for coordinating the growth of the Association, maintaining the list of active members, and establishing Area Organizations for the Association around the country.
h. Area Membership Officer shall assist the Membership Officer in all of the above duties representing the different Area Organizations.
ARTICLE X. MEETINGS
Section I. Regular Meeting - Internet Medium
Meetings will be held quarterly via the convenient electronic medium and announced 30 days in advance;
Section II. General Assembly Meeting - "In-Person Meeting"
The Association will be able to meet at times and places approved of by the general membership for "in-person" meetings (e.g. Tampus Clan Get Together and Tampus Clan Grand Reunion).
Section III. Attendance at Meetings
Attendance at meetings will be voluntary; however, voting on matters of interest will be restricted to those in attendances and to those holding paid memberships in the Association. Attendance and participation by non-members is highly encouraged.
ARTICLE XI. AMENDMENTS
Section I.
Amendments to this document shall be made in the following manner: The proposed amendment shall be published at a regularly scheduled meeting;
Section II.
The proposed amendment will be discussed and voted on at the next regularly scheduled meeting. Approval of the proposed amendment shall require the affirmative vote of 3/4 of the paid membership casting a vote.
ARTICLE XII. OTHER PROVISIONS
Section I.
The Association will begin on April 27, 2012 and continue thereafter from year to year unless terminated as hereinafter provided.
Section II. Dissolution of the Association.
The Association may be dissolved by agreement of a majority of the paid members. The President or other Officer shall provide notice of the decision to dissolve to all members of the Association. Any assets remaining will be distributed on a pro-rated basis based on length of membership and accomplished not later than sixty (60) days following the date of the agreement to dissolve the Association.
ARTICLE X. FORBIDDEN ACTS
Section I. No Officer shall
a. have the right or authority to bind or obligate the Association to any extent whatsoever with regard to any other matter outside the scope of the Association's Purpose;
b. without the majority consent of voting members at a regularly scheduled meeting, assign, transfer, or pledge any asset of the Association;
c. use the Association's name, credit, or property for other than the Association's Purpose;
d. do any act detrimental to the interest of the Association or which would make it impossible to carry on the business or affairs of the Association.
